Terms & Conditions

These Terms govern use of smarter-plan.com, operated by Vacanti Enterprises LLC, doing business as Smarter Plan ("we," "us," or "our"). Our services are offered to businesses in the United States. Read these Terms alongside our Privacy Policy.

1. Website use and eligibility

You must be at least 18 and authorized to act for the business you represent. Provide accurate information and use the site lawfully. Browsing, submitting an inquiry, verifying a phone number, or booking a call does not by itself purchase a service, authorize a charge, create a subscription, or give consent to promotional texts.

2. Client agreements control services

Services require a separately accepted client agreement or order. That agreement defines scope, pricing, payments, taxes, service duration, renewal, cancellation, refunds, delivery commitments, ownership, licenses, account access, and any service-specific warranty, liability, or indemnification terms. If it conflicts with these website Terms on those matters, the separately accepted agreement controls, subject to applicable law. A website description or consultation does not replace that agreement.

3. Billing, cancellation, and refunds

Review the commercial terms in your client agreement before purchasing. Recurring charges require express authorization in the ordering process; website use or a form submission is not billing authorization. Contact nick@vacantienterprises.com with billing, cancellation, or refund requests. The accepted agreement and applicable law determine your rights.

4. Existing customer commitments

This website update does not change existing customers' accepted pricing, service terms, renewal or cancellation rights, refund or satisfaction guarantees, delivery commitments, or other agreed rights. Commitments accepted with an earlier purchase remain applicable according to their terms. New website wording does not retroactively revoke them. Any agreed changes must follow the applicable agreement and law.

5. Scope, timing, and cooperation

Services may include websites, Google Business Profile support, lead capture, CRM configuration, communications, review requests, and related systems. The services and delivery milestones for your business are those in your accepted agreement. Timely materials, access, approvals, and feedback may be needed. You are responsible for the accuracy and legality of content, claims, account access, and customer data you supply.

6. Text messages and calls

Choosing phone verification requests the verification texts needed for that step. It does not enroll you in ongoing or promotional messaging. Separate optional choices allow you to request non-marketing texts about your inquiry, appointments, account, or partner application, and promotional texts about our services and offers, including automated messages. Choose either, both, or neither. Marketing consent is not a condition of purchase.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out of SMS or HELP for help, or email nick@vacantienterprises.com. We honor applicable revocations of consent; a service-related purpose does not override an applicable text opt-out. Existing provider suppression is not automatically removed by submitting a form. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for information handling. A phone field or SMS choice does not authorize unrelated automated marketing calls.

7. Acceptable use

Do not violate law or others' rights, provide deceptive or unlawful content, send communications without required consent, interfere with security or operation, or access systems without authorization.

8. Ownership and third-party services

You retain rights to content you provide. We retain rights to our pre-existing site content, branding, methods, templates, and software. Ownership, licenses, transfers, and access to client deliverables are specified in the accepted client agreement. Third-party materials and platforms remain subject to their terms and licenses. Availability, delivery, policies, or features of platforms such as hosting, Google, Meta, CRM, and telecommunications services may change.

9. Results and website availability

Examples, testimonials, and client-reported outcomes do not guarantee leads, jobs, rankings, revenue, profit, or other business results. Results depend on market conditions and your business's execution. To the fullest extent permitted by law, this informational website is provided as available without a promise of uninterrupted or error-free operation. This does not limit obligations in an accepted client agreement, existing purchase commitments, or rights that cannot lawfully be excluded.

10. Service disputes and liability

Refer to your accepted client agreement for any service-specific dispute process, liability allocation, or indemnification obligation. These website Terms do not create a new service liability cap or replace a cap in an existing accepted agreement. Nothing here excludes liability or remedies that cannot lawfully be excluded.

11. Governing law and changes

These website Terms are governed by Florida law and applicable United States federal law, without regard to conflict-of-law principles, subject to mandatory rights under applicable law. A separately accepted client agreement may specify its own governing law for services. Website Terms may be revised prospectively by posting a dated version. Posting an update does not amend an existing client agreement. If a provision is unenforceable, the remaining provisions remain effective.
